Legal Piece of the Week: Sale Agreements - Miss a Deadline, Lose Your Deposit?

Buying or selling a home is an exciting milestone - but it is also a legal process where deadlines are not merely a guideline. Miss one, and the financial implications can be significant.

A relatively recent decision of the Johannesburg High Court provides important guidance on the enforcement of deposit forfeiture clauses in sale agreements, and the limited role of the Conventional Penalties Act in relieving defaulting purchasers. The judgment is a clear reaffirmation of contractual certainty in property transactions - for sellers, purchasers, estate agents, and conveyancers alike.

The Dispute in Brief

In Von Holdt v Hill Inc., the parties concluded an agreement for the sale of immovable property for R17.25 million. The purchaser paid R1.75 million into the estate agent's trust account, comprising a deposit of R1 725 000 as well as a voluntary overpayment of R25 000. In terms of the agreement, the purchaser was required to furnish a bank guarantee for the balance of the purchase price upon demand.

The seller demanded the guarantee - first allowing 14 days for compliance, then issuing a further notice affording the purchaser five business days to remedy the breach. The guarantee was not furnished within either period. The seller cancelled the agreement and claimed entitlement to retain the deposit in terms of the forfeiture clause in the sale agreement.

The purchaser resisted, arguing that the agreement afforded a "reasonable time" to remedy the breach beyond the express five-day period, that the breach was not material and did not justify cancellation, and that forfeiture of the full deposit was disproportionate to the seller's actual prejudice.

The court rejected all three arguments.

What the Court Found

Contractual time periods are binding. Where a contract clearly stipulates a timeframe, that period is enforceable. A court will not lightly read in flexibility where the parties have agreed to specific deadlines and a structured notice procedure.

Materiality of the breach is not a separate hurdle. Where an agreement provides that failure to remedy any breach within a specified period entitles the innocent party to cancel, the courts will generally enforce that provision. There is no separate requirement that the breach must be "material."

The Conventional Penalties Act has limits. The Act allows a court to reduce a pre-determined penalty if it is found to be out of proportion to the prejudice suffered by the creditor. In this case, however, the seller demonstrated substantial prejudice - including the loss of a previous offer on the property, the collapse of an onward purchase that was subject to the sale, extended municipal costs, financing pressures, and the delayed resale of the property in a deteriorating market. Although the property was subsequently resold for R15.5 million, that resale did not neutralise the losses arising from the failed transaction. The court found the forfeited deposit was not disproportionate and declined to reduce it.

What This Means for You

If you are a purchaser:

  • Ensure you can meet all contractual deadlines before signing

  • Arrange finance and guarantees proactively - not reactively

  • Finance and guarantee obligations are not aspirational; they are binding, time-bound undertakings

  • The Conventional Penalties Act is not a safety net for self-created risk or an unfavourable bargain

If you are a seller:

  • Well-drafted agreements provide strong protection

  • Courts will enforce clear contractual timeframes

  • Deposits can become enforceable entitlements upon lawful cancellation, if properly provided for in the agreement

If you are a property professional:

  • Precision in drafting and advising on deadlines is essential

  • Clients must fully understand the consequences of non-compliance before they sign

There's something special about live music with the harbour as your backdrop - and that's exactly what's on offer this Saturday evening at Burgundy Restaurant.

Hermanus settles into a warmer, more stable autumn rhythm this week, with sunshine dominating early before giving way to slightly cooler, mixed conditions toward midweek.

Thursday and Friday bring the warmest stretch, with plenty of sunshine and rising temperatures creating a classic late-summer feel along the coast. The weekend softens slightly, with more cloud drifting in and temperatures easing back.

From Monday, conditions remain pleasant and relatively calm, before a subtle midweek cool-down arrives. Tuesday introduces a small chance of light rain, and by Wednesday, temperatures dip more noticeably with increased cloud cover. Thursday rounds things off with a return to mild, balanced conditions and clearer skies.

Overall, it’s a week that starts bright and warm, gently cools, and then resets into a mild, settled autumn pattern.
